Job Overview

A law firm in New York City seeks an experienced Investment Funds Attorney to join its investment funds practice. The role involves advising sponsors, fund managers, and investment platforms on the formation, structuring, and ongoing operation of private and public investment funds across various asset classes. The ideal candidate will collaborate with partners and clients on fund formation, regulatory compliance, and investor-facing documentation while developing a deep understanding of client objectives and market dynamics.

Duties

• Lead the formation and structuring of investment funds, including VC, PE, real estate, hedge funds, SPVs, and related entities.



• Draft, review, and negotiate core fund documents such as LPAs, PPMs, subscription documents, side letters, and management agreements.



• Advise on fund economics and governance, including carry structures, waterfalls, and GP commitments, in coordination with tax and finance teams.



• Manage securities and regulatory filings, including Form D and Blue Sky/state filings, and support SEC-related obligations for fund offerings.



• Design and maintain compliance frameworks for marketing, allocations, co-investments, and conflicts of interest.



• Provide day-to-day legal support for fund operations, including capital calls, distributions, LP consents, transfers, and amendments.



• Support investor relations by reviewing communications, addressing LP inquiries, and tracking side letter obligations.



• Coordinate with administrators, tax advisors, and internal teams to ensure accuracy across documents, records, and structures.



• Oversee ongoing entity maintenance, including formations, good-standing filings, and restructuring actions.



• Develop and refine playbooks, templates, and processes to improve efficiency in launching and managing future funds.

Requirements

• J.D. from an accredited law school and licensed (or in-house eligible) to practice law in at least one U.S. jurisdiction.



• 5-10+ years of relevant experience in fund formation and investment management.



• Experience at a top-tier law firm working with VC/PE clients, or in-house counsel at a venture/private equity firm or asset manager.



• Deep familiarity with VC/PE fund structures, including LP/GP constructs, management companies, and related entities.



• Expertise in LPAs, PPMs, side letters, and subscription documentation, including negotiation with sophisticated institutional LPs.



• Knowledge of SEC and securities compliance related to private fund offerings, such as Reg D, Blue Sky, and marketing rules.



• Experience supporting co-investment vehicles, SPVs, and ongoing fund operations like capital calls and distributions.



• Proven ability to build and support compliance programs for investment advisers and/or fund managers.

Education

• J.D. from an accredited law school.

Certifications

• Licensed to practice law in at least one U.S. jurisdiction; NY bar admission or eligibility is a plus.
