Job Overview

A law firm seeks a mid-level associate to join its Investment Management team in New York City, with preferential consideration for candidates in Dallas. This role focuses on private fund formation, including private equity, private credit, real estate, entertainment, and venture capital funds. The position offers the opportunity to work closely with experienced practitioners on sophisticated national matters within a collegial environment.

Duties

• Advise private fund sponsors on the formation and offering of U.S. and international pooled investment vehicles and bespoke fund-of-one arrangements.



• Represent significant institutional investors in allocating capital to private fund investments, including primary, secondary, and coinvest transactions.



• Counsel investment advisory firms on operational matters such as internal governance, compliance, carried interest, co-investment arrangements, and fund restructurings.



• Collaborate with industry teams advising on client portfolio assets, including private equity, real estate finance, and fintech, to develop specialized expertise.

Requirements

• At least 4 years of experience in private fund formation.



• Experience drafting and reviewing fund-related documentation, including private placement memoranda, subscription documents, and LLC and partnership agreements.



• Experience representing institutional investors in negotiating private fund investments.



• Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act.



• Outstanding academic credentials and experience working at an AmLaw 100 firm.



• Excellent written and verbal communication skills.

Education

• Juris Doctor degree from an accredited law school.

Certifications

• Admission to the bar in the relevant jurisdiction.

• Proficiency in negotiating complex financial transactions.



• Ability to work directly with clients and develop specialized expertise in various asset classes.
