Job Overview

A law firm seeks a skilled M&A Associate to join its Transactions and Advisory Group in Roseland, NJ. The ideal candidate will advise corporate clients and private equity funds on acquisitions, dispositions, and minority investments, managing complex deal processes with precision and strategic insight.

Duties

• Advise corporate clients and private equity funds on acquisitions, dispositions, minority investments, and general corporate matters.



• Draft and negotiate transaction documents, including merger agreements, purchase agreements, LLC agreements, and shareholder agreements.



• Manage deal processes effectively, ensuring thorough due diligence and seamless execution of strategic transactions.



• Provide strategic counsel on market terms and corporate law issues to support client objectives.

Requirements

• 3-4 years of experience handling M&A and related strategic transactional work.



• Substantial experience in drafting complex transaction documents and managing high-level deal responsibilities.



• Strong understanding of corporate law and current market terms.



• Driven personality with a business development-oriented mindset and ability to take initiative.

Education

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications

• Admitted to practice law in New Jersey or New York (or eligible for admission).

Skills

• Expertise in corporate law and M&A transaction structures.
