Job Overview

Duties

• Structure and draft employment agreements, equity compensation plans, deferred compensation arrangements, and change in control provisions.



• Negotiate severance and separation agreements for private and public company clients, including start-ups and senior executives.



• Support private and public company M&A transactions, IPOs, and other sale and liquidity events.



• Advise on compliance with Tax Code Sections 409A, 280G, and 83(b) within executive compensation frameworks.

Requirements

• 3-4 years of experience at a major law firm focusing on executive compensation and employee benefits.



• Admission to the New York or New Jersey bar is required.



• Demonstrated experience working with private and public companies, start-ups, private equity firms, and senior executives.

Education

• Excellent academic credentials from an accredited law school.

Certifications

• Active license to practice law in New York or New Jersey.

Skills

• Deep understanding of Tax Code Sections 409A, 280G, and 83(b).



• Strong negotiation and drafting skills for complex employment and equity structures.



• Ability to manage deal flow in M&A, IPO, and liquidity transactions.
