Duties

• Represent public and private clients in securities offerings, SEC reporting, and public company representation.



• Manage domestic and international M&A transactions, joint ventures, and private placements across various industries.



• Collaborate with partners and senior associates on complex corporate matters for middle-market and institutional clients.

Requirements

• Demonstrate an exceptional work ethic and maintain a strong academic record throughout law school.



• Exhibit prior experience in securities and capital markets work, including public and private offerings.



• Experience at an AmLaw 200 firm is preferred but not required; candidates with relevant transactional experience are encouraged to apply.

Education

• Juris Doctor (J.D.) degree from an accredited law school.



• Current law school status in years 2022-2024 or recent graduation within this timeframe.

Certifications

• Admission to the New York State Bar is preferred.

Skills

• Strong understanding of SEC reporting requirements and public company compliance.



• Ability to work effectively on transnational mergers and acquisitions and complex joint ventures.



• Proficiency in handling matters across media/entertainment, technology, financial services, and pharmaceutical sectors.
