Duties

• Advise public companies on SEC reporting and compliance.
• Draft registration statements, prospectuses, and offering memoranda.
• Handle corporate governance matters and fiduciary duty considerations.
• Counsel clients on day-to-day public company matters.
• Collaborate across offices and practice areas.

Requirements

• 3-7 years of relevant experience in capital markets.
• Strong drafting, analytical, and communication skills.
• Ability to work collaboratively and assume responsibility.
• Comfortable interacting with partners and clients.

Education

• JD from an ABA-accredited law school.

Certifications

• Active member in good standing of the Bar where admitted.
• Timely admission to the Bar of Illinois required.

Skills

• Experience with SEC reporting and compliance.
• Knowledge of corporate governance and stock exchange rules.
• Ability to build client-facing relationships.
