We are looking to hire a Corporate Counsel who will be responsible for managing securities compliance, including Section 16, ‘34 Act and NYSE compliance and other corporate compliance, including managing the compliance requirements for the Company’s domestic and international subsidiaries. However, it is not anticipated that such responsibilities will be full-time responsibilities. Accordingly, the Corporate Counsel will also be expected to provide general legal assistance to the Company on matters ranging from M&A to ordinary course commercial contracts. This is a unique opportunity for a lawyer to join a fast growing, dynamic public company. This position will report to the EVP, General Counsel, and will be only the third lawyer in the Leaf Group legal department and, as such, will have a significant opportunity to help shape the legal department.

You’ll Report To: EVP, General Counsel

A typical day as a Corporate Counsel might include:
Securities compliance, including Section 16, ‘34 Act and NYSE compliance and other corporate compliance, including managing the compliance requirements for the Company’s domestic and international subsidiaries.
Provide general advice on a wide range of matters, such as corporate and securities law, intellectual property, and international law.
Advise on and help negotiate M&A transactions.
Negotiate and draft myriad contracts.
Help formulate and advise on compliance programs.
What You Have:
JD, preferably from an accredited law school.
Significant experience in securities and corporate compliance.
A minimum of 5 years of experience in corporate law, including M&A experience.
A
combination
of in-house and top tier law firm experience.
Candidate must have confidence to handle and address legal matters that may be outside of the candidate’s “comfort zone.”
Candidate must be able to multi-task and prioritize.
Candidate must be a self-starter and an independent worker. (The General Counsel is looking for a collaborative partner, not someone who needs to be micro-managed.)
Candidates having background in some or all of the following will be preferred:
Media and ecommerce
Experience in negotiating and drafting complex business development deals
Intellectual property transactions
