Job Overview

A law firm seeks a mid- to senior-level Corporate Associate Attorney to join its Emerging Companies and Venture Capital Practice Group in Los Angeles, California. The ideal candidate will have 4-6 years of experience in emerging companies and venture capital work, contributing to the practice's growth by advising founders, executives, and investors.

Duties

• Draft and negotiate preferred-stock financings, convertible instruments, and related investment agreements.
• Advise clients on formation, capitalization, corporate governance, founder arrangements, and equity compensation.
• Manage transactions end-to-end through closing, including running diligence processes and coordinating with specialists on commercial, regulatory, intellectual property, and operational matters.
• Advise on acquisitions, company sales, and other strategic transactions.
• Serve as a key associate contact for founders and management teams navigating growth.
• Mentor junior lawyers, as appropriate to experience level.

Requirements

• 4-6 years of significant experience in emerging companies and venture capital work.
• Admitted to the state bar in which you are practicing or eligible to waive in.
• Excellent business and legal problem-solving skills and judgment.
• Entrepreneurial, innovative, and forward-thinking mindset.
• Strong work ethic, team player attitude, and action-oriented interest in taking on increased levels of responsibility.

Education

• Law degree from an accredited institution.

Certifications

• Active bar admission in the relevant jurisdiction.

Skills

• Experience with cross-border matters is desired.
• Ability to manage complex transactions and coordinate with multiple specialists.
• Strong communication and mentoring capabilities.
