Corporate Counsel
The candidate will be responsible for: Assist with public debt offerings, including preparation of preliminary offering memorandum and corporate disclosures. Assist with corporate governance matters, including preparation of minutes and resolutions. Analyze and implement corporate risk management strategies. Research and analyze ongoing business initiatives, with emphasis on financial products and services, to ensure compliance with existing law. Oversee implementation of new products and services to ensure compliance with applicable law. Draft agreements governing relationships with clients. Participate in acquisition diligence and related contracting. Review vendor contracts and non-disclosure agreements in support of business. Assist with other legal matters in support of General Counsel. Must have general background in corporate or transactional law, including contract drafting, preparation of corporate documents, mergers and acquisitions, preparation of minutes and resolutions, etc. Should have broad business sense/knowledge. Insurance industry knowledge required. Banking or financing background required. Premium Finance industry experience is a plus Must have College graduate. Should have Law school graduate.
