Duties

• Independently manage significant workstreams across all phases of M&A and investment transactions.
• Lead due diligence efforts, coordinating with specialists and synthesizing findings.
• Draft and negotiate complex definitive transaction documents with limited supervision.
• Advise clients directly on deal structure, risk allocation, and strategic considerations.
• Collaborate with clients and senior attorneys to develop and execute transaction strategies.
• Analyze legal, regulatory, and competitive considerations affecting transactions.
• Mentor and supervise junior associates, providing constructive guidance.
• Manage multiple concurrent transactions, ensuring timely, high-quality execution.
• Advise clients on corporate governance and general corporate matters.

Requirements

• 2-8 years of meaningful experience in corporate transactions with a focus on mergers and acquisitions.
• Admission to practice law in Nebraska, or current eligibility for admission.
• Substantial experience drafting and negotiating complex transactional documents.
• Proven ability to lead and manage due diligence processes.
• Strong negotiation skills and confidence to advocate for client interests.
• Ability to identify, analyze, and communicate legal and business risks effectively.
• Effective analytical skills and ability to manage competing priorities.
• Strong work ethic, attention to detail, and a proactive approach to legal challenges.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Licensed to practice law in Nebraska or eligible for admission.
