Job Overview

A law firm seeks a talented Associate Attorney to join its team in New York City, NY. This role focuses on transactional and corporate law, specifically serving emerging companies and venture capital clients. The ideal candidate will provide outside general counsel services, manage venture financings, and handle complex corporate governance matters in a remote-first environment.

Duties

• Serve as outside general counsel to early-stage and growth companies, providing practical, business-minded legal guidance and triaging day-to-day legal questions.



• Lead venture financings end-to-end, including drafting and negotiating SAFEs, convertible notes, NVCA equity rounds, and ancillary closing deliverables.



• Form and structure new entities, draft founder documentation such as IP assignments and vesting schedules, and manage cap table administration.



• Manage debt transactions for venture-backed companies by reviewing term sheets, negotiating loan and security agreements, and coordinating perfection filings.



• Own closing execution by running diligence, building closing checklists, coordinating signatures, and managing data rooms to ensure timely closings.



• Draft, review, and negotiate commercial contracts, including SaaS subscriptions, MSAs, and vendor agreements, with attention to data and IP risk allocation.



• Advise on corporate governance and compliance matters, including board consents, charter updates, equity plan administration, and minute-book hygiene.

Requirements

• Strong academic credentials, including a J.D. from a top law school.



• Active membership in the New York State Bar is required.



• Minimum of two years of experience with a top national law firm or in a technology company in-house legal department.



• Ability to work independently while maintaining strong connectivity with remote team members.

Education

• J.D. from a top-tier law school.

Certifications

• Active New York State Bar membership.

• Strong project management and analytical skills.



• Excellent oral and written communication abilities.



• Experience with entity formation, equity/debt financings, and commercial contracts.



• Proficiency in managing remote, cross-time-zone client communications.
