Duties

• Advise public companies on SEC reporting and compliance.
• Draft registration statements, prospectuses, and offering memoranda.
• Handle corporate governance matters and stock exchange compliance.
• Counsel clients on public company matters and collaborate with legal and finance teams.

Requirements

• 3-7 years of relevant experience in capital markets and public company advisory.
• Strong drafting, analytical, and communication skills.
• Ability to work collaboratively across offices and practice areas.
• Comfortable with client interaction and assuming responsibility for matters.

Education

• JD from an ABA-accredited law school.

Certifications

• Active member in good standing of the Bar in the jurisdiction(s) where admitted.
• Timely admission to the Bar of the state where the hiring office is located.

Skills

• Experience with SEC reporting and compliance.
• Knowledge of corporate governance and fiduciary duties.
• Proficiency in drafting transaction documents.
