Job Overview

A law firm seeks a mid to senior level transactional associate to join its Corporate and Securities Practice Group in Nashville, TN. The successful candidate will represent large Nasdaq and NYSE-listed public company clients across various industries, gaining exposure to complex securities, corporate governance, capital markets, and regulatory matters.

Duties

• Represent large public company clients in securities law and transactional matters.
• Advise on corporate governance and regulatory compliance.
• Collaborate with a multi-office team on complex legal issues.

Requirements

• Minimum of four years of corporate and securities experience at a large law firm.
• Experience with Securities Act of 1933 and Securities Exchange Act of 1934 matters.
• Strong analytical, written, and oral communication skills.
• Licensed to practice law in the relevant jurisdiction or eligible for licensing.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Licensed attorney in good standing.

Skills

• Proficiency in handling equity and debt offerings.
• Experience with proxy statements and periodic reporting.
• Ability to work collaboratively in a team environment.
