Job Overview

A law firm seeks a Finance Associate with 3-5 years of corporate finance experience to join its growing debt finance practice in Houston, TX. The role involves representing private equity funds, independent sponsors, family offices, portfolio companies, corporate borrowers, lenders, and private credit providers in sophisticated middle-market financing transactions.

Duties

• Draft and negotiate senior secured, unitranche, second lien, and mezzanine financings.
• Handle acquisition financings and leveraged buyouts.
• Manage syndicated, club, and bilateral credit facilities.
• Work on private credit and direct lending transactions.
• Coordinate revolving, delayed draw, and term loan facilities.
• Oversee asset-based facilities secured at the SPV or borrowing-base level.
• Engage in subscription, NAV, and other fund finance transactions.
• Prepare intercreditor and subordination arrangements, collateral and guaranty documentation, and opinion letters.
• Manage transaction workstreams and coordinate transactions from structuring through closing.
• Collaborate directly with clients, opposing counsel, lenders, and financing sources.

Requirements

• 3-5 years of corporate finance experience.
• Outstanding academic credentials.
• Exceptional drafting and negotiation skills.
• Sound commercial judgment.
• Ability to manage deals independently.
• Thrive in a collaborative, fast-paced team environment.

Education

• Juris Doctor (JD) degree.

Certifications

• Licensed to practice law in Texas.

Skills

• Strong client management and communication skills.
