Job Overview

A law firm seeks a Public Finance Counsel to join its Public Finance Practice Group in New York. The nationally recognized practice guides clients through tax-exempt and taxable financings for non-profit, higher education, energy infrastructure, healthcare, and governmental sectors. This role involves leading complex transactions from structuring through closing, serving as a primary point of contact for clients and underwriters, and supervising junior legal staff.

Duties

• Lead tax-exempt and taxable financing transactions from start to finish, acting as bond counsel, underwriter's counsel, lender's counsel, or borrower's counsel.



• Review, draft, and analyze underlying credit support, tax, construction, and management agreements, as well as financing and offering documents.



• Analyze complex federal tax issues, federal securities law disclosure obligations, and related documents including official statements and legal opinions.



• Supervise and mentor associates and paralegals while working with partners to develop client relationships and support business development efforts.



• Provide practical, business-focused advice to clients and manage complex working groups with a high degree of independence.

Requirements

• Eight or more years of public finance experience, including substantial tax-exempt bond experience, in a top 100 law firm or comparable setting.



• Demonstrated ability to lead financing transactions and serve in multiple counsel capacities.



• Deep knowledge of federal tax requirements for tax-exempt obligations and federal securities law disclosure obligations.



• Proven ability to manage complex transactions, supervise junior lawyers, and build relationships with clients and business teams.



• Must be admitted to practice in, or eligible for admission in, the state where the candidate will be based.

Education

• Strong academic record with a Juris Doctor degree from an accredited law school.

Certifications

• Active bar admission in the relevant jurisdiction.

Skills

• Excellent writing and oral communication skills.



• Strong interpersonal skills with the ability to maintain client and team relationships.



• Willingness and desire to work with innovative technology platforms, including AI tools for research and document drafting.



• Experience with real estate, secured lending, and project finance transactions is a plus, particularly representing lenders and underwriters.



• Established client base or demonstrated interest in business development is preferred.
