Corporate Associate
The candidate will advise clients in numerous types of equity and debt financings as well as M&A transactions. Should be experienced in representing emerging companies and venture capital firms. Should have a background in outside general counsel services with emphasis on formation, equity and debt financings, and M&A transactions. Should have 3-5 years in corporate governance of meaningful corporate/transactional experience in a large law firm setting. Should use familiarity with employment matters, equity compensation matters, software licensing, and intellectual property issues to advise emerging and growth stage technology and life science companies, as well as venture capital firms and angel investors. Should have excelled academically and preferably have experience in cap table and waterfall modelling and familiarity with Carta. Strong writing, analytical, and communications skills are required.
