Senior Counsel
The candidate will be responsible for: Manage investment deals from start to finish, including negotiating and drafting (where applicable) term sheets and transactional documentation to ensure deals are completed in the firm’s best interests. Support matters that may encompass dispute resolution, litigation, creditor, or bankruptcy issues as they arise. Review deals and advise internal business teams on potential issues that could impact these transactions. Provide regulatory advice on potential and active transactions within our investment portfolio, including public market trading, non-disclosure agreements, and other more complex compliance issues. Travel to offices within the US, Europe, and Asia to support and participate in non-U.S. transactions. Supervise outside counsel to support domestic and international transactions matters and related documentation. Leverage your knowledge of US and (where applicable) international legal and financial regulations to guide internal teams including review of the documentation prepared by outside counsel. Eventually, this role may encompass advising the Firm’s Asia private equity/venture capital businesses under the direction of the Group’s General Counsel. Should have 10+ years of securities, corporate finance, and/or regulatory related legal experience; bankruptcy and/or litigation experience a plus. Previous legal experience working within a broker-dealer or for a financial regulatory body a strong plus. Must possess strong negotiation skills. Superior communication skills and the ability to liaise comfortably with all levels of management and outside counsel. Must exhibit initiative and assertiveness in obtaining information needed to proceed with projects. Solid understanding of finance, including knowledge of products such as options, equities or other asset classes a plus.
