Duties
- Represent borrowers and lenders in debt financing transactions and credit facilities.
- Draft, review, and negotiate loan agreements and related financing documents.

- Manage financing transactions from term sheet through closing.
- Supervise and mentor junior corporate attorneys.
- Coordinate due diligence, closing deliverables, and transaction execution.
- Collaborate with banks, private credit lenders, and corporate clients.
- Provide strategic guidance on financing structures and transaction management.
- Work with attorneys across various practice groups.
Requirements
- Juris Doctor (JD) from an accredited law school.
- Admission to the Pennsylvania bar, or ability to waive in.
- 5-7+ years of experience in debt finance or related transactional matters.
- Experience with secured and unsecured financing transactions.
- Strong drafting and negotiation skills with complex financing documents.
- Ability to manage sophisticated transactions and client relationships independently.
- Excellent analytical, organizational, and communication skills.
- Large law firm or boutique transactional experience preferred.
- Preference for Philadelphia, PA or Conshohocken, PA; other locations considered case-by-case.
Education
- Juris Doctor (JD) from an accredited law school.
Certifications
- Admission to the Pennsylvania bar, or ability to waive in.
