A law firm seeks a Corporate Associate Attorney with two to four years of experience to join its Corporate Finance Division in Phoenix, AZ. This role offers the chance to work with a well-established corporate group on dynamic transactions for national clients.

Duties

• Lead and manage mergers and acquisitions and private equity investment transactions.
• Contribute to capital markets transactions and compliance reporting.
• Advise on venture capital and early-stage investment transactions.
• Engage in private equity fund formation and governance.
• Provide investment management representation to broker-dealers and advisers.

Requirements

• Licensed to practice in or eligible for admission without examination in Minnesota.
• 2-4 years of experience in relevant transactional matters.
• Strong writing, analytical, organizational, leadership, and communication skills.

Education

• Juris Doctor (JD) from an accredited law school.

Certifications

• Bar admission in Minnesota or eligibility for admission without examination.

Skills

• Experience with corporate governance and venture capital transactions preferred.
• Knowledge of Forms 10-K, 10-Q, and 8-K filings and proxy statements is advantageous.
