A law firm seeks a Mid-Level Transactional Attorney with experience in complex transactional matters to join their IP Practice Group in Oakland, CA. Duties

• Draft, review, and negotiate contracts, including master service agreements and license agreements.
• Draft and revise Franchise Disclosure Documents and related agreements.
• Respond to comment letters from state regulators.
• Advise clients on compliance with federal and state franchise laws.
• Advise on franchise sales compliance, renewals, and terminations.
• Analyze and implement exemption-based franchise sales strategies.
• Research and provide advice on various legal issues.
• Manage client communication and expectations.
• Participate in business development and networking within the franchise community.

Requirements

• 3 - 5 years of transactional experience, including contract analysis and drafting.
• Experience in corporate and commercial matters; litigation, trademark regulatory compliance, and/or data privacy experience is a plus.
• Strong drafting and negotiating skills.
• Excellent research skills and familiarity with AI-powered legal tools.
• Superior verbal and written communication skills.
• Self-starter with outstanding organizational skills.
• Ability to manage multiple assignments independently.
• Strong analytical and problem-solving skills.
• Interest in developing expertise in franchise law.
• Proficient with MS Office Suite and a Document Management System.

Education

• Juris Doctor degree from an accredited law school.

Certifications

• California Bar license in good standing.
