Job Overview

A law firm seeks a counsel or partner-level attorney with at least eight years of sophisticated commercial contracting and transactional experience to join its Consumer Brands Industry Group in Portland. The role focuses on structuring, negotiating, and managing complex business-to-business relationships for product-based companies, including those in food, beverage, beauty, and apparel sectors.

Duties

• Advise clients on structuring, drafting, and negotiating complex commercial agreements across supply chain, manufacturing, distribution, and sales channels.



• Identify business and legal risks, anticipate operational problems, and develop practical, creative solutions to translate into clear contractual structures.



• Manage multiple complex projects and workstreams simultaneously, taking ownership of matters and providing practical recommendations to clients and colleagues.



• Collaborate with a multidisciplinary team to deliver comprehensive legal counsel throughout the business lifecycle, from launch through strategic transactions.

Requirements

• At least eight years of sophisticated commercial contracting and transactional experience serving as a day-to-day advisor to operating businesses.



• Significant experience independently drafting, reviewing, and negotiating complex commercial agreements for product-based or consumer brands.



• Excellent business judgment, critical-thinking, and problem-solving skills with the ability to spot issues and connect them across complex matters.



• Strong project-management and organizational skills, with a commitment to delivering accurate, thoughtful, and complete work.



• Exceptional client-facing skills and the ability to communicate sophisticated legal and business issues clearly and practically.



• A highly responsive, collaborative, and service-oriented approach to client matters and team interactions.

Education

• JD from an ABA-accredited law school.

Certifications

• License to practice law.

Skills

• Deep expertise in supply chain, manufacturing, distribution, sales, logistics, licensing, and other operational commercial agreements.



• Ability to understand client objectives, identify material risks, and develop practical solutions.



• Strong drafting, analytical, and negotiation skills.



• Experience with general corporate matters, strategic transactions, or transactional intellectual property is welcome but not required if commercial contracting experience is deep.



• A portable book of business is preferred.



• Demonstrated ability to build strong client relationships and generate new business is a plus.
