Job Overview

A company seeks an Attorney – Syndicated Loans in Charlotte, North Carolina, to provide legal counsel on syndicated lending transactions for corporate and investment banking businesses. The attorney will negotiate sophisticated financing documentation, advise credit officers and bankers on legal, regulatory, and commercial matters, and manage outside counsel. The role involves domestic and cross-border transactions and requires practical, risk-based guidance that supports business objectives while effectively managing legal and regulatory exposure.

Duties

• Provide legal counsel on syndicated loan products and related corporate and investment banking activities.
• Analyze legal, regulatory, and commercial issues affecting lending products, services, transactions, and business initiatives.
• Draft, review, and negotiate commitment letters, engagement letters, term sheets, fee letters, syndicated credit agreements, and related financing documents.
• Advise on domestic and cross-border syndicated loan transactions and related legal opinions.
• Prepare and review parent guaranties supporting subsidiary obligations under various loan products.
• Provide clear, practical, and responsive legal advice to credit officers, corporate bankers, business stakeholders, and senior leadership.
• Interpret applicable laws, regulations, rulings, policies, and industry developments from legal, compliance, and business-control perspectives.
• Collaborate with compliance, risk, legal, and business teams to identify and mitigate legal and regulatory risks.
• Support responses to government examinations and investigations, enforcement matters, private complaints, and litigation.
• Manage and supervise outside legal counsel on lending transactions and related matters.
• Coordinate with other legal professionals and provide training, mentoring, or developmental support to colleagues as appropriate.
• Evaluate information from multiple sources and exercise sound legal and commercial judgment when developing recommendations.

Requirements

• Five or more years of law firm or in-house legal experience involving syndicated loan transactions.
• Strong organizational, legal drafting, and negotiation capabilities.
• Ability to communicate clearly and effectively, both orally and in writing, with stakeholders at all organizational levels.
• Ability to manage a high volume of matters effectively in a fast-paced and evolving environment.
• Strong interpersonal skills and ability to collaborate effectively with attorneys, clients, risk professionals, and business partners.
• Ability to balance legal and commercial considerations and serve as a strategic partner in achieving business objectives within appropriate risk parameters.
• Meaningful experience with oil and gas lending transactions is preferred.
• Knowledge of sustainable and green loan products is preferred.
• Ability and willingness to develop and propose constructive solutions to complex legal and business issues.
• Ability to travel approximately 5% of the time.
• Must be at least 18 years of age.

Education

• Juris Doctor or equivalent doctorate-level law degree.

• Active U.S. bar membership in good standing.
