Job Overview

A law firm seeks a team-oriented Corporate and Finance Associate to join their practice groups in Cleveland, OH, or Indianapolis, IN. This role focuses on middle-market lending, ESOP, and transactional work, offering the opportunity to work closely with partners and clients on sophisticated transactions across various industries.

Duties

• Handle substantive corporate and transactional matters, including entity formation and governance.
• Manage commercial financing, including working capital lines of credit, term loan facilities, and asset-based lending.
• Draft term sheets and conduct due diligence reviews of data rooms.
• Prepare due diligence reports and draft transaction documents such as purchase agreements and loan agreements.
• Collaborate on drafting collateral documents, seller notes, board resolutions, and employment agreements.

Requirements

• 2-5 years of experience in corporate and transactional matters.
• Strong drafting and negotiation skills.
• Sound business judgment and ability to manage deal execution in a fast-paced environment.
• ESOP transaction experience preferred but not required.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Licensed to practice law in the state of Ohio or Indiana.
