Job Overview

A company seeks an Attorney – U.S. Corporate Governance and Board Support in Charlotte, North Carolina, to provide legal counsel and manage governance activities supporting the boards and committees of a public company and its U.S. subsidiaries. The attorney will advise directors, senior management, and corporate functions on governance, securities, subsidiary governance, and corporate law matters while supporting board processes and the responsibilities of the corporate secretary function.

Duties

• Provide legal counsel on corporate governance matters affecting the public company, its regulated subsidiaries, and other U.S. entities.
• Advise boards of directors, board committees, senior management, and corporate functions on governance responsibilities and related legal requirements.
• Support board and committee processes and the effective execution of corporate secretary governance and operational activities.
• Analyze complex legal issues and assess their implications for corporate functions and governance activities.
• Interpret applicable statutes, regulations, judicial rulings, governance requirements, and corporate law principles.
• Deliver clear, concise, actionable, and business-informed legal advice to stakeholders, including senior leadership.
• Draft, review, and negotiate sophisticated legal documents, including regulatory filings, engagement letters, offering documents, and legal opinions.
• Gather, assess, and evaluate information from multiple sources to develop sound legal judgments and recommendations.
• Partner with operations, technology, and other cross-functional teams to support governance processes and related initiatives.
• Manage complex and time-sensitive matters independently while identifying and addressing legal, regulatory, and governance risks.

Requirements

• Ten or more years of experience as an attorney handling corporate, securities, and public company corporate governance matters.
• Strong understanding of U.S. public company governance rules, regulations, best practices, subsidiary governance, and Delaware corporate law.
• Experience advising financial institutions or other complex international corporations on corporate governance matters.
• Experience advising boards of directors, board committees, and senior management on governance-related matters.
• Demonstrated ability to work independently and exercise sound judgment on complex and time-sensitive issues.
• Experience leading and participating in cross-functional teams.
• Strong business and legal judgment with high standards of professional integrity.
• Ability to navigate a complex and evolving financial services and regulatory environment.
• Strong oral, written, analytical, and legal drafting capabilities.
• Must be at least 18 years of age.

Education

• Juris Doctor or equivalent doctorate-level law degree.

Certifications

• Active license to practice law in at least one U.S. state or the District of Columbia.
