Job Overview:
A law firm is seeking a Corporate Associate Attorney with 2 to 4 years of experience to join its Corporate Finance Division in Phoenix, Arizona. The position focuses on sophisticated corporate transactions, including mergers and acquisitions, private equity, capital markets, venture capital, and securities compliance, while representing national clients in a collaborative transactional practice.

Duties:

• Represent clients in mergers and acquisitions and other strategic corporate transactions
• Advise clients on private equity investments, leveraged buyouts, and related transactions
• Assist with capital markets transactions and securities offerings
• Support venture capital and early-stage financing transactions for issuers and investors
• Advise on fund formation, governance, investments, and exit transactions
• Handle structured finance and investment management matters
• Counsel broker-dealers and investment advisers on regulatory and transactional matters
• Assist with corporate governance matters
• Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements, as applicable
• Draft, review, and negotiate transaction documents
• Collaborate with attorneys and clients on complex corporate matters

Requirements:

• 2 to 4 years of experience in corporate transactional law
• Experience leading, managing, or substantially contributing to mergers and acquisitions transactions
• Experience with private equity investments, leveraged buyouts, or capital markets transactions
• Strong analytical, writing, organizational, leadership, and communication skills
• Experience with venture capital transactions, corporate governance, securities offerings, or SEC reporting is preferred but not required
• Ability to manage multiple sophisticated transactions in a fast-paced environment

Education and Certifications:

• Juris Doctor (J.D.) from an accredited law school
• Active bar admission or eligibility for admission in the applicable jurisdiction
