Job Overview

A law firm seeks a junior Corporate Associate in the Corporate Practice, Mergers and Acquisitions (M&A), and private equity practice in Fort Lauderdale, Florida. This full-time position offers the opportunity to engage in substantive drafting, due diligence, and client interaction on domestic and international transactions across various industries.

Duties

• Draft, review, and negotiate acquisition and ancillary agreements for complex transactions.
• Lead transaction workstreams with guidance from senior lawyers, including due diligence.
• Coordinate with tax, employee benefits, real estate, and other specialists.
• Work directly with clients on transaction workstreams.
• Assist with closing preparations and ensure post-closing obligations are met.

Requirements

• J.D. from an accredited law school.
• Admission to the Florida Bar or willingness to become admitted promptly.
• 2-4 years of M&A, private equity, and general corporate experience at a law firm.
• Strong drafting, negotiation, and project management skills.
• Ability to work independently and as part of a team in a high-volume practice.
• Strong interpersonal skills and a willingness to accept significant responsibility.

Preferred Qualifications

• Experience with cross-border transactions.
• Familiarity with private equity deal structures.
• Comfort working directly with clients and managing multiple deals simultaneously.

Education

• J.D. from an accredited law school.

Certifications

• Admission to the Florida Bar or willingness to become admitted promptly.
