Job Overview:

A law firm is seeking a mid-level Associate Attorney with at least 2 years of substantive asset management experience to join its investment funds practice in Chicago, Illinois. The position focuses on regulatory and compliance matters involving private investment funds and their investment advisers. The attorney will advise clients regarding the formation, structuring, and ongoing operation of private equity funds, hedge funds, and other private investment vehicles, with particular emphasis on the Investment Advisers Act and related U.S. securities laws.

Duties:

• Advise private investment funds and investment advisers on regulatory and compliance matters.
• Assist clients with the formation and structuring of private investment funds.
• Provide regulatory guidance regarding the ongoing management and operation of private equity funds, hedge funds, and other investment vehicles.
• Counsel investment advisers regarding applicable regulatory requirements and compliance obligations.
• Analyze issues arising under the Investment Advisers Act and related U.S. securities laws.
• Assist clients in understanding and complying with regulatory requirements affecting private funds and investment advisers.
• Research and analyze developments in investment management regulation and securities law.
• Provide guidance regarding regulatory considerations associated with fund structures and investment management activities.
• Collaborate with attorneys and clients on sophisticated asset management and fund formation matters.
• Develop subject matter expertise regarding the regulatory framework governing private investment funds and investment advisers.

Requirements:

• At least 2 years of substantive asset management experience.
• Significant regulatory and compliance knowledge related to investment management.
• Experience advising clients on the formation, structuring, and ongoing management of private investment funds.
• Experience with private equity funds, hedge funds, and/or similar private investment vehicles.
• Experience advising investment advisers on regulatory and compliance matters.
• Strong knowledge of the regulatory framework governing private investment funds.
• Familiarity with the Investment Advisers Act and related U.S. securities laws.
• Strong interest in developing advanced subject matter expertise in investment management regulation.
• Active bar admission in Illinois for candidates practicing from the Chicago office.

Education and Certifications:

• Juris Doctor (JD) from an accredited law school.
• Active Illinois Bar membership for the Chicago office.
