Job Overview

A law firm seeks a Senior Legal Counsel, Corporate & Commercial to join its Houston, TX office. This strategic role supports a hyper-growth healthcare organization by building scalable commercial and corporate legal infrastructure. The position focuses on complex agreements, corporate governance, and strategic transactions while leveraging AI-enabled tools to enhance operational efficiency and risk management.

Duties

• Lead the structuring, drafting, and negotiation of complex vendor, customer, licensing, and strategic partnership agreements to support enterprise growth and operational scalability.



• Develop scalable contract templates, clause libraries, and governance standards to improve legal consistency, reduce deviation rates, and accelerate contract cycle times.



• Support mergers, acquisitions, and strategic investments through legal diligence, contract analysis, and enterprise risk assessment activities.



• Implement AI-enabled legal technologies for automated contract drafting, document review, and obligation tracking to modernize legal operations.



• Analyze contract data and negotiation trends to identify process inefficiencies, optimize contractual protections, and provide actionable insights to leadership.



• Supervise and mentor Contract Counsel, fostering a high-performance legal culture emphasizing operational discipline and analytical rigor.

Requirements

• Minimum of 7 years of legal experience with a focus on contract drafting, negotiation, and management.



• Experience in pharmaceutical, healthcare, or life sciences industries is preferred.



• A combination of law firm and in-house experience is preferred.



• Demonstrated success negotiating complex agreements with vendors, customers, and strategic partners.



• Experience implementing or leveraging AI-enabled legal tools and contract automation platforms.



• Supervisory experience managing and mentoring Contract Counsel.

Education

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications

• Active license to practice law in Texas.

Skills

• Advanced expertise in commercial contracting, corporate governance, and transaction support.



• Strong knowledge of contract law and applicable regulatory frameworks.



• Ability to translate legal risk into business impact with strong analytical judgment.



• Excellent communication and cross-functional collaboration skills.



• Experience leading contract lifecycle management processes and driving process improvements.
