Job Overview

A law firm seeks a mid-level Corporate and Impact Associate Attorney in San Francisco, California. The ideal candidate will possess 3 to 6 years of law firm experience advising clients on corporate transactions, incorporation, governance, and structuring. This role involves crafting legal and financing tools for nonprofits, foundations, corporations, and asset managers, leveraging sophisticated financing and M&A transactional experience to support social and environmental goals.

Duties

• Draft, review, and negotiate investment, financing, governance, and other transaction documents.



• Advise boards and management teams on corporate governance, fiduciary duties, and sustainability-related matters.



• Collaborate with colleagues in corporate, finance, tax, regulatory, securities, and intellectual property groups to deliver sophisticated transactions.



• Communicate complex legal and commercial issues clearly and concisely to team members and clients.

Requirements

• 3 to 6 years of law firm experience advising clients on corporate transactions, incorporation, governance, and structuring.



• Experience with private equity, venture capital, growth equity, financings, secondary transactions, or other private investment deals.



• Admitted to the state bar in which you are practicing, or eligible to waive in.



• Strong work ethic, team player attitude, and action-oriented interest in taking on increased levels of responsibility.

Education

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications

• Active admission to the state bar in the jurisdiction of practice.

Skills

• Social enterprise and impact investing experience is a plus.



• Ability to work well with colleagues across multiple practice areas to deliver on sophisticated transactions.



• Clear and concise oral and written communication skills.
