M&A Corporate Attorney
The candidate will have the opportunity to work on sophisticated transactions and be part of a collaborative and collegial team. The essential job functions are drafting and negotiating purchase and sale agreements and related ancillary transaction documents; Advising on mergers and acquisitions and business entity governance matters; Advising on the choice of entity and creating and restructuring business entities; Assisting in due diligence efforts and managing disclosure schedules and maintaining a current working knowledge of laws and regulatory developments; and structuring and drafting documents for commercial and finance transactions. Should preferably possess 4-7 years of experience in a corporate law firm or in-house legal department. Must be licensed or attain a license to practice law in the State of Ohio. Must have experience working on sophisticated merger and acquisition transactions. Should have strong contract drafting, research, and writing skills with the ability to work effectively with teams and independently, as well as manage and prioritize multiple projects. Strong analytical skills are also required with the ability to work with staff, attorneys at all levels, and firm clients successfully.
