Senior Counsel - Commercial and Privacy
Duties: Handle both commercial contract matters and privacy matters. Provide commercial legal advice, negotiate contracts and resolve disputes for our brands (which include Kenmore and, as licensee, DieHard and Craftsman), our Shop Your Way mobile application and shopping platform, our financial services and credit card business, our merchant business and procurement. Advise businesses enterprise-wide on privacy issues under state, federal and international law. Report Associate General Counsel (Commercial) for the commercial aspect of the role and to our Head of Compliance (dotted line) for the privacy aspect of the role. Structure, draft and negotiate a wide variety of commercial contacts, including supply agreements, sales agreements, license agreements, service agreements, and marketing agreements. Provide counseling and advice relating to commercial matters, including laws concerning anti-trust, trade regulation, consumer credit, consumer warranties, and advertising. You will also assist with contract interpretation and implementation, pre-litigation disputes and due diligence. Advise our various businesses on data privacy and security issues including drafting privacy disclosures and policies, responding to third party privacy and security assessments, helping manage the company’s response to any data incidents and working to build controls to assess and ensure compliance with applicable privacy law.
