The candidate will be advising clients on entity choice and drafting corporate-related entity documents. Assisting with all aspects of M&A transactions, including due diligence, negotiation, document drafting and project management. Drafting and negotiating commercial contracts, offering and transaction documents for private placements and other corporate transaction documents. Advising clients on best practices and application of legal principals in corporate governance. Texas Bar admission or ability to waive in to admission required. 3-7 years of experience working in a corporate or financial transactional legal practice required. Superior academic credentials required. Outstanding written and verbal communication and analytical skills required. Strong interest in developing a corporate legal practice and working with client management teams to solve challenging and sometimes unique problems required. Prior experience in a corporate practice in mergers & acquisitions, securities transactions, corporate governance and/or commercial contracts is required.
