Senior Securities Counsel
The candidate will be responsible for providing legal support to American Renal Management LLC and its affiliated entities (ARA), as well as to the Senior Executive Team and the Board of Directors, in accordance with industry, legal, and regulatory standards, and consistent with the Company’s core mission of providing superior patient care. Serves as key legal advisor on all major legal, transactional, and regulatory affairs, including specifically corporate governance, public company reporting to SEC/NYSE and SEC compliance, preparation and review of all public company filings and related matters (Forms 10-K, 10-Q, 8-K, 3, 4, Proxy and Annual Meeting, public company trading policies), SOX and Reg FD compliance, and other corporate and litigation matters typical for a healthcare services company, each as may be assigned by the VP. Participates in the definition, development, and review of company policies and procedures. Negotiates contracts involving existing and potential transactions and joint ventures as may be assigned. Provides legal options and alternatives in approaching commercial transactions and other legal matters that achieve the business objective while protecting the company’s financial, ethical, and reputational interests. Provides continuing counsel and guidance on legal matters and on legal implications of all matters. Interprets laws, rulings, and regulations applicable to ARA; coordinates implementation of contractual obligations with other departments. Supervises and directs outside litigation counsel, works with VP and senior management to define strategic defenses, and supports settlements of disputes where warranted and as may be assigned. Manages relationships and cost-efficiencies of outside legal resources. Participates in company management meetings. Performs other duties as assigned by the VP.
