Job Overview

A law firm seeks a mid-level corporate associate with 3-6 years of experience to join its Venture Capital practice in Boston. The ideal candidate will represent venture capital investors and emerging growth companies, handling transactions from seed through late-stage financings. This role offers the opportunity to work within a collaborative team advising prominent clients across all stages of the company lifecycle.

Duties

• Draft and negotiate primary deal documents, including term sheets, SAFEs, convertible notes, and preferred stock purchase agreements.



• Advise venture-backed companies on entity formation, corporate governance, securities matters, and general corporate issues throughout their growth cycle.



• Represent venture capital funds and institutional investors in new investments, follow-on rounds, and portfolio matters.



• Manage due diligence processes and maintain direct client relationships with support from senior attorneys.

Requirements

• 3-6 years of substantive corporate transactional experience on both the company and investor sides of venture capital deals.



• Experience at an AmLaw 50 firm with a nationally recognized venture capital practice is strongly preferred.



• Must be admitted to or eligible for admission to the Massachusetts and/or New York Bar.



• Residence in the Boston or New York office is required.

Education

• Outstanding academic credentials from an accredited law school.

Certifications

• Active bar admission in Massachusetts and/or New York, or eligibility for admission.

Skills

• Strong project management skills with the ability to work effectively in lean, fast-paced deal teams.



• Sound judgment and the ability to manage significant responsibility and client contact.



• Excellent written and verbal communication skills for drafting complex legal instruments.
