Senior Vice President, General Counsel
The candidate will provide management and oversight of the global legal affairs of the Company. Manage both internal and external legal resources, maintain legal budget, select and manage external counsel; lead and develop talent of legal team. Will handle domestic and international commercial agreements, including content licenses, third-party distribution arrangements, agency and reseller agreements, platform licenses, consulting agreements, service agreements, technology/e-commerce agreements. Negotiate significant transactions as needed (joint ventures, M&A, financings). Advise on employment law issues (including employee relations matters, EEOC complaints, and employment policies), working in partnership with Human Resources. Handle data privacy matters (GDRP, CRM, IT Systems) and corporate compliance/governance issues (including ABC compliance and anti-corruption laws). Manage litigation and conflict dispute matters, including selection of counsel, case management, and provide litigation strategy. Provide strategic advice to the sales operations and product development teams. Oversee real estate matters (leasing, subleasing, disposition). Oversee social and product compliance and environmental sustainability. Oversee risk assessments/response plans; conduct internal monitoring and audit. Oversee the Company’s intellectual property portfolio, including trademark, patent and copyright enforcement and prosecution and anti-counterfeiting actions. Must hold a law degree from a well-regarded and accredited university or law school. Should be a member of a state bar in the United States. Admission in New York is preferred. Should have 15+ years as a practicing lawyer preferably with both a well-regarded law firm and a corporation, preferably in the publishing or digital media sectors. Must have strong writing, advocacy and negotiation skills.
