Senior Attorney for Business Development
Duties: Work with a small, cross-functional team to provide legal advice and counsel to UT System executive staff regarding business development activities. Negotiating contracts and agreements with external partners and counterparties, and actively mitigating legal, statutory and regulatory risks related to business development transactions. Negotiate, draft and review various agreements related to business development, including license agreements, option agreements, partnership agreements, equity agreements, service agreements, technology agreements, memoranda of understanding, confidentiality provisions, and conflict of interest management plans. Participate in ad hoc cross-functional teams to recommend more effective and efficient transaction structures and strategies. Coordinate with the Office of General Counsel and outside counsel to ensure that all business development activities are conducted in accordance with applicable procedures and processes, including Board of Regents Rules, and federal and state regulations. Negotiate and manage contracts with outside counsel and consultants in support of business development activities.
