Job Overview

A company seeks a Corporate Legal Counsel, Commercial Transactions to join their team in Irvine, California; Greensboro, North Carolina; or Austin/Dallas, Texas. The successful candidate will manage a variety of commercial and technology transactions, working collaboratively within a dynamic legal team.

Duties

• Serve as a primary commercial attorney for assigned business functions.
• Draft, review, and negotiate a wide range of commercial and technology agreements.
• Develop negotiation strategies and communicate legal and business risks.
• Coordinate with local counsel on cross-border transactions.
• Advise senior management on commercial and transactional matters.
• Resolve business disputes and address inquiries arising from transactions.
• Draft and deliver training materials related to contractual requirements.
• Support the development of contracting processes and tools.
• Assist with M&A and integration efforts as needed.
• Travel domestically and internationally for negotiations and meetings.

Requirements

• Minimum 8 years of experience in commercial legal matters and contract negotiation.
• Experience drafting and negotiating complex commercial agreements.
• Strong interpersonal and communication skills.
• Ability to manage multiple projects in a multi-stakeholder environment.
• In-house experience at a global technology company is a plus.
• Experience with customer and supplier audits is a plus.
• Proficiency with modern legal and business technology tools.
• Ability to quickly learn complex technologies and business models.

Education

• JD from an accredited U.S. law school.

Certifications

• Active membership in good standing in at least one U.S. state bar.
