The candidate will support the efficient and effective scaling of internal legal processes and equity programs. Must have taken ownership of the maintenance of our equity data, capitalization table, and stock plan activities, including grants, exercises, and cancellations. Supported an incredible participant experience by creating and presenting slides, addressing participant inquiries, and creating educational materials. Analyzed, drafted, and negotiated a wide variety of legal documentation with assistance from in-house attorneys, including MSAs, NDAs, contractor agreements, leases, separation agreements, offer letters, and other contracts. Developed a system for maintaining all Corporate records, including contracts, key files, equity documentation, and investor correspondence. Maintained all intellectual property files, trademark and patent applications, copyright files, and other related materials while improving our approach to patent awards. Provided support for the Board Corporate Secretary/General Counsel, including drafting resolutions, consents, and similar materials, and maintaining a wide variety of corporate records. Prepared documents involving creation, merger, and disposition of corporate subsidiaries, including entity formation, entity discussion, and entity foreign qualifications. Must have maintained equity programs and capitalization tables for at least one small, private technology company and have developed a range of equity-related communication materials (e.g. presentations, webinars, lectures). Should have been deeply involved in merger and acquisition(M&A) activity as part of a legal team, with direct experience with documentation preparation, information management, and overall M&A-related best practices. Must have drafted and negotiated (or assisted with drafting and negotiating) a broad spectrum of commercial contracts in the technology and/or SaaS spaces. Supported a General Counsel or legal team with documentation drafting and maintenance of company records with an exceptional level of detail and organization Must be a clear communicator, and can explain complex ideas in an honest, succinct, inspiring, and meaningful way.
