Job Overview

A law firm seeks an experienced M&A Counsel to join its New York City, NY team. The ideal candidate will manage complex merger and acquisition transactions, providing strategic legal advice and ensuring regulatory compliance throughout the deal lifecycle. This role offers the opportunity to work on high-profile matters within a collaborative and dynamic environment.

Duties

• Lead and manage end-to-end merger and acquisition transactions, including due diligence, negotiation, and closing.



• Draft, review, and negotiate definitive transaction documents, such as purchase agreements and disclosure schedules.



• Advise clients on corporate governance, securities law, and regulatory requirements relevant to M&A activities.



• Coordinate with internal teams and external counsel to ensure seamless execution of complex deals.

Requirements

• Admitted to practice law in New York with a strong track record in corporate law.



• Substantial experience handling mid-to-large cap M&A transactions from inception to closing.



• Ability to manage multiple matters simultaneously while maintaining high attention to detail.

Education

• Juris Doctor (J.D.) degree from an accredited law school.

Certifications

• Active bar membership in the State of New York.

• Expertise in corporate structuring, due diligence processes, and regulatory compliance.



• Strong analytical, negotiation, and client relationship management skills.
