Job Overview

A law firm seeks a mid-level corporate associate to join its Capital Markets practice in Boston, MA. The successful candidate will work with public company clients on U.S. and cross-border securities transactions, including IPOs and debt offerings.

Duties

• Draft and negotiate transaction documents such as underwriting agreements and offering memoranda.
• Advise clients on SEC reporting and disclosure obligations, including periodic reports and proxy statements.
• Conduct due diligence and coordinate processes across deal teams and external parties.
• Advise on corporate governance matters, including board composition and stock exchange standards.
• Represent SPACs and target companies in de-SPAC transactions and related securities law analysis.

Requirements

• 3-6 years of experience in capital markets and public company counseling.
• Experience with SEC and other regulatory interfaces.
• Familiarity with '34 Act reporting requirements.
• Experience with foreign private issuers and SPAC transactions is beneficial.
• Admitted to the Massachusetts Bar or eligible for admission.

Education

• Outstanding academic credentials required.

Certifications

• Massachusetts Bar admission or eligibility.
