Job Overview

A company seeks a transaction-focused attorney to join their team as Lead Counsel, Transactions and Market Compliance. This remote position involves providing legal support on U.S. and cross-border matters, including strategic alliances, complex commercial arrangements, mergers and acquisitions, and joint ventures.

Duties

• Lead legal workstreams on domestic and international transactions from diligence to post-closing integration.
• Draft, review, and negotiate agreements and transaction documents.
• Provide legal support for global supply chain issues, including supplier disputes and process improvements.
• Negotiate with counterparties and partners with cultural awareness and commercial sensitivity.
• Advise business teams on balancing legal risk with commercial objectives.
• Support senior attorneys in counseling management on transaction risk and execution strategy.
• Identify opportunities to use technology to improve transaction execution and legal service delivery.
• Collaborate with legal colleagues and other professionals for coordinated legal support.
• Manage outside counsel workstreams, including scope, staffing, and budgets.
• Contribute to templates and precedent libraries for transaction execution.
• Support enterprise priorities in areas such as electrification and autonomy.

Requirements

• Juris Doctor (JD) from an accredited law school.
• Active member in good standing of at least one U.S. State Bar.
• Minimum 5 years of experience in mergers and acquisitions and complex commercial transactions.
• Experience advising on global supply chain transactions.
• Experience negotiating transactions with international counterparties.
• Strong drafting, negotiation, and analytical skills.
• Excellent written and verbal communication skills.
• Strong interpersonal skills and professional presence.
• Willingness to travel domestically and internationally as needed.

Preferred Qualifications

• Experience in the automotive, mobility, technology, or energy sectors.
• Combination of major law firm training and in-house corporate legal experience.
