A law firm seeks a mid-level to senior Tax Associate in Los Angeles, California. The ideal candidate will have 5-10 years of experience advising on federal and state tax aspects of real estate and corporate transactions, with a focus on partnership and real estate tax matters. The role involves structuring transactions to align with clients' legal, economic, and business objectives.

Duties

• Advise on tax aspects of real estate acquisitions, dispositions, and joint ventures.
• Provide guidance on partnership and LLC tax matters, including allocations and restructurings.
• Structure and advise on Section 1031 like-kind exchanges.
• Draft and negotiate tax provisions in various agreements.
• Advise on federal, state, and local tax considerations in transactions.
• Provide tax advice for mergers, acquisitions, and reorganizations.
• Research and analyze complex tax issues for clients.

Requirements

• 5-10 years of relevant tax law experience, preferably in a sophisticated transactional practice.
• Strong knowledge of federal income tax principles for real estate transactions and partnerships.
• Experience with Section 1031 exchanges and Qualified Opportunity Zone transactions preferred.
• Experience drafting and reviewing transaction documents from a tax perspective.
• Familiarity with California state and local tax issues preferred.
• Experience advising on tax aspects of M&A or corporate transactions is a plus.
• Excellent analytical, drafting, communication, and problem-solving skills.
• Ability to manage sophisticated matters independently while collaborating with attorneys.

Education

• J.D. from an accredited law school.

Certifications

• Admission to the California Bar, or eligibility and willingness to become admitted.
• LL.M. in Taxation preferred but not required.
