Duties

• Handle mergers and acquisitions and formation of business organizations.
• Advise on corporate governance matters.
• Draft and negotiate corporate documents, including operating and shareholder agreements.
• Manage commercial contracts and bank financing.
• Provide general business advice and counseling.

Requirements

• Minimum of five years of corporate/transactional experience.
• Proficiency in drafting and negotiating corporate documents.
• Experience with M&A and corporate governance.

Education

• Juris Doctor (JD) degree.

Certifications

• Licensed to practice law in New York State.
