Job Overview

A law firm seeks a Junior Corporate Associate to join its Corporate Practice in Stamford, Connecticut. The ideal candidate will have 1-3 years of experience in general corporate and M&A transactions.

Duties

• Represent clients in various corporate transactions, including mergers, acquisitions, and joint ventures.
• Draft, review, and negotiate ancillary closing documents and have a working knowledge of primary transaction documents.
• Conduct and manage due diligence, reviewing corporate records and preparing summaries.
• Assist with deal management and closing logistics.
• Advise clients on general corporate matters, including entity formation and compliance.
• Coordinate with attorneys in other practice groups as needed.
• Work closely with senior associates and partners on transactions.
• Manage paralegals on transactions and provide guidance.
• Maintain direct communication with clients and contribute to building long-term relationships.

Requirements

• JD from an ABA-accredited law school.
• 1-3 years of experience in transactional work at a law firm.
• Strong knowledge of corporate governance and transactional processes.
• Excellent drafting, analytical, and organizational skills.
• Ability to manage multiple transactions in a fast-paced environment.
• Strong attention to detail and sound business judgment.
• Team-oriented with a proactive and solutions-driven mindset.

Education

• JD from an ABA-accredited law school.

Certifications

• Bar admission in good standing.

Skills

• Strong knowledge of corporate governance and entity structures.
