A law firm seeks a mid to senior-level corporate associate to join its capital markets group in Phoenix, AZ. This role involves working with public companies on reporting, compliance, and corporate governance, while supporting a dynamic securities practice focused on life sciences, technology, and digital assets.

Duties

• Conduct thorough legal research and analysis to support transactions.
• Draft clear and accurate legal documents, including memos and contracts.
• Assist in managing complex transactions from inception to resolution.
• Build and maintain strong client relationships through professional interaction.
• Collaborate with colleagues to develop innovative transaction strategies.
• Participate in high-level legal activities, including client meetings and negotiations.
• Ensure compliance with legal standards and stay updated on legal changes.
• Engage in professional development to enhance legal and leadership skills.
• Contribute to firm programs, civic organizations, and pro bono work.

Requirements

• Minimum 4 years of experience in public company and capital markets.
• Experience with public company reporting and compliance.
• Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Experience with Nasdaq and NYSE listing and governance requirements.
• Experience with issuers, underwriters, and financial intermediaries.
• AmLaw 100 law firm experience preferred.

Education

• JD degree from an accredited law school.

Certifications

• Admitted to practice in the state of office location.
