Job Overview

A law firm seeks a Senior Associate with 5-7 years of experience to join its Corporate & Securities group in Palo Alto, California. The role focuses on capital markets and public company matters, offering the opportunity to lead sophisticated transactions and mentor junior team members.

Duties

• Independently manage complex capital markets transactions, including IPOs, SPACs, and follow-on offerings.



• Draft and review registration statements, prospectuses, proxy statements, and periodic SEC filings.



• Provide strategic counsel on corporate governance, SEC compliance, and exchange listing requirements.



• Supervise deal teams, mentor junior associates, and serve as a primary point of contact for clients.

Requirements

• Substantial experience advising on and managing public and private securities offerings.



• Deep knowledge of federal securities laws, FINRA rules, and NYSE/Nasdaq listing standards.



• Ability to exercise sound legal judgment and deliver high-quality work with limited oversight.



• Strong interpersonal skills with the ability to communicate effectively with diverse stakeholders.

Education

• High level of academic achievement from a nationally recognized law school.

Certifications

• Admission to the California State Bar is preferred.

Skills

• Expertise in drafting and managing complex transactional documents and regulatory filings.



• Strong commercial awareness and ability to anticipate client needs in a fast-paced environment.



• Leadership skills with experience supervising junior attorneys and managing workflow.
