Duties

• Negotiate and draft SaaS and cloud-based agreements, software licenses, and service agreements.
• Handle outsourcing, supply, distribution, and manufacturing agreements.
• Advise on IP and tech issues in corporate transactions, including M&A and private equity.
• Conduct diligence on chain of title, licenses, and data processing matters.
• Assist with transaction documents related to technology and IP.

Requirements

• 2-4 years of relevant experience in technology transactions.
• Active member of the bar in the state of practice.

Education

• Juris Doctor (JD) degree.

Certifications

• Bar admission in the practicing state.

Skills

• Strong analytical and drafting skills.
• Experience with complex commercial transactions.
• Knowledge of IP and technology-related legal issues.
