Job Overview

A law firm seeks a counsel or partner-level attorney with at least eight years of sophisticated commercial contracting and transactional experience to join its Consumer Brands Industry Group in Spokane. The role focuses on serving as a day-to-day commercial and strategic advisor to operating businesses, particularly those in the food, beverage, beauty, and product-based sectors.

Duties

• Structure, draft, and negotiate complex business-to-business agreements, including supply, manufacturing, distribution, and licensing contracts.



• Advise clients on operational risks, business objectives, and practical solutions, translating legal concepts into clear contractual structures.



• Manage multiple complex projects and workstreams simultaneously, taking ownership of matters and anticipating downstream consequences.



• Provide strategic counsel on product development, vendor relationships, sales channels, and intellectual property rights arising in commercial contexts.

Requirements

• At least eight years of sophisticated commercial contracting and transactional experience.



• Significant experience independently drafting, reviewing, and negotiating complex commercial agreements for operating businesses.



• Demonstrated experience with multiple categories of supply chain, manufacturing, distribution, sales, logistics, or licensing agreements.



• Excellent business judgment, critical-thinking, and problem-solving skills with the ability to identify material risks and develop creative solutions.



• Strong project-management and organizational skills, with exceptional attention to detail and a commitment to accurate, thoughtful work.



• Excellent client-facing skills, with the ability to communicate sophisticated legal and business issues clearly and practically.



• A highly responsive, collaborative, and service-oriented approach to client and colleague interactions.

Education

• JD from an ABA-accredited law school.

Certifications

• License to practice law.

Skills

• Exceptional drafting, analytical, and negotiation skills.



• Ability to understand client objectives and connect issues across complex matters.



• Experience with general corporate matters, strategic transactions, or transactional intellectual property is welcome but not required if commercial contracting experience is deep.



• Experience with consumer products, food and beverage, beauty, pet, apparel, or other product-based businesses is strongly preferred.



• A portable book of business is preferred.
