Job Overview

A law firm seeks junior and midlevel corporate associates to join its Seattle office. The role involves working closely with partners and other team members to support a growing practice in corporate matters, including mergers and acquisitions, venture capital transactions, and corporate governance. This position offers the opportunity to engage in sophisticated transactions and develop strong client relationships.

Duties

• Advise private companies and investors on middle-market mergers and acquisitions.
• Provide corporate governance advice to private companies and their boards.
• Support emerging growth companies on legal matters throughout their lifecycle.
• Assist with venture financings, including seed and Series A rounds.
• Participate in transaction structuring, due diligence, and negotiation processes.
• Draft and negotiate transaction documents and agreements.
• Coordinate due diligence reviews and manage deal timelines.
• Collaborate with attorneys in related practice areas.

Requirements

• 1-5 years of experience in corporate transactional work at a law firm.
• Experience with mergers and acquisitions and venture financings preferred.
• Strong drafting, negotiation, and organizational skills.
• Ability to manage multiple matters in a fast-paced environment.
• J.D. from an accredited law school and admission (or eligibility for admission) in Washington.
