Job Overview

A law firm seeks a counsel or partner-level attorney with at least eight years of sophisticated commercial contracting and transactional experience to join its Consumer Brands Industry Group in New York City. The role focuses on structuring, negotiating, and managing complex business-to-business relationships for product-based companies, serving as a strategic advisor to operating businesses.

Duties

• Structure, draft, and negotiate complex commercial agreements, including supply, manufacturing, distribution, and licensing contracts.



• Advise clients on business operations, identifying legal and operational risks while developing practical, creative solutions.



• Manage multiple complex projects and workstreams, taking ownership of matters and ensuring timely delivery.



• Provide strategic counsel on product development, vendor relationships, and intellectual property rights within commercial contexts.

Requirements

• At least eight years of sophisticated commercial contracting and transactional experience.



• Significant experience independently drafting, reviewing, and negotiating complex commercial agreements for operating businesses.



• Demonstrated experience with multiple categories of supply chain, manufacturing, distribution, sales, logistics, or licensing agreements.



• Excellent business judgment with the ability to understand client objectives and identify material risks.



• Exceptional critical-thinking, problem-solving, and project-management skills.



• Strong client-facing skills with a responsive, collaborative, and service-oriented approach.

Education

• JD from an ABA-accredited law school.

Certifications

• License to practice law.

Skills

• Excellent drafting, analytical, and negotiation skills.



• Ability to anticipate downstream consequences and connect issues across complex matters.



• Strong attention to detail and commitment to delivering accurate, thoughtful work.



• Experience with general corporate matters, strategic transactions, or transactional intellectual property is a plus.



• Portable book of business is preferred.
